Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", the "User") and MAGNATEX LLP, an Indian Limited Liability Partnership (LLPIN: ACU-5689) with its registered office at 111, Fortune Business Hub, Sola, Nr. Satyamev Elysium, Ahmedabad, Gujarat 380060, India ("MagnateX", "SocioGenie", "we", "our", "us").
By creating an account, purchasing a subscription or Credits, or otherwise accessing or using www.sociogenie.ai or the SocioGenie platform (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms and the policies incorporated into them: our Privacy Policy, Cookie Policy, Refund Policy, Acceptable Use Policy, and AI Disclosure. If you do not agree, you must not use the Services.
Please read Sections 10, 11, 12 and 19 carefully. They concern automated publishing to your live social-media accounts, your responsibility as publisher, and the limits of our liability.
1. Definitions
- "Account" — the registered user account associated with your email address.
- "AI Engine" — the autonomous system that researches content angles, selects content types, and generates and schedules content on a recurring basis without a manual trigger.
- "AI Plan" / "Studio Plan" — the two product lines described in Section 6.
- "Brand DNA" — the business profile, brand data, questionnaire answers, visual-style settings, colours, and assets you provide or we extract, used to personalise generated output.
- "Connected Account" — a third-party social-media account (Instagram, Facebook, LinkedIn, or any platform we later support) that you authorise SocioGenie to access.
- "Credits" — the unit of metered usage on SocioGenie, comprising Plan Credits (included in a subscription) and Top-Up Credits (purchased separately).
- "Dodo" — Dodo Payments Inc., our Merchant of Record and authorised payment processor.
- "Generated Content" — any caption, image, carousel, advert, video, campaign, or other output produced by the Services.
- "User Content" — any data, text, image, video, logo, product asset, catalogue, prompt, or material you upload or submit.
2. What the Services Are
SocioGenie is an AI-powered social-media platform for businesses. It combines brand onboarding, autonomous and manual AI content generation, optional human quality review, scheduling and publishing infrastructure, and analytics.
The Services currently include:
Onboarding and brand setup — Brand DNA extraction from your website or uploaded catalogue PDF, or manual entry; an AI-generated industry questionnaire; visual-style and brand-colour configuration; asset and product-image upload; sample post generation.
Automatic content system — the AI Engine, and (on AI Plans) the Content Calendar, which plans a month of content and generates each post approximately two days before its scheduled date.
Manual creation tools — Content Studio, Product Ads, Video Generator, Event Studio, Campaigns, Carousel Posts.
Publishing and management — Post Scheduler, Scheduled Posts, Media Library, Connected Accounts, Analytics, and the AI Chat Assistant.
Approval workflow — Manual Review and Auto Approve modes, as described in Section 11.
We may modify, add, remove, suspend, or discontinue any feature at any time. Where a change materially reduces the core functionality of your plan, we will give reasonable prior notice and, where the change materially disadvantages you, you may cancel and receive a pro-rated refund of the unused portion of your current billing cycle.
3. Eligibility
To use the Services you must:
- be at least 18 years of age;
- have legal capacity to enter into a binding contract;
- if registering for a business or other legal entity, be authorised to bind that entity to these Terms;
- not be barred from receiving the Services under the laws of India, your country of residence, or any applicable sanctions regime.
The Services are a business tool and are not directed at consumers acting outside a trade or profession. Where you nonetheless qualify as a consumer under mandatory local law, Section 25 applies.
4. Account Registration and Security
You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your Account. Notify us immediately at support@magnatex.co of any unauthorised access.
Accounts are for a single business entity. You may not share Account credentials, resell access, or operate the Services on behalf of unrelated third parties without a written agreement with us.
We may refuse, suspend, or terminate Accounts we reasonably believe to be fraudulent, abusive, or in breach of these Terms.
5. Connecting Your Social-Media Accounts
When you connect a Connected Account via OAuth, you authorise SocioGenie to publish content, schedule posts, and read post-level analytics on your behalf, strictly within the permission scopes you grant.
You represent and warrant that:
- you own the Connected Account or are authorised by its owner to connect it and publish through it;
- you have read and will comply with the terms of each platform, including the Meta Platform Terms, Instagram Community Guidelines, Facebook Terms of Service, and the LinkedIn User Agreement and API Terms of Use;
- you will not use SocioGenie to operate networks of accounts, coordinate posting across accounts you do not control, or engage in any behaviour a platform classifies as inauthentic or coordinated.
SocioGenie is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., LinkedIn Corporation, or Google LLC. We publish through their official APIs and are bound by their rate limits, review processes, and policy decisions. We are not liable for outages, API or policy changes, rate limiting, content takedowns, account restrictions, account bans, or algorithmic decisions made by any platform, including where these are triggered by content generated through the Services.
6. Plans
SocioGenie is offered in two product lines, each with three tiers:
AI Plans — the AI Engine and Content Calendar manage your social-media presence on a recurring basis with human-reviewed content. Includes all manual creation tools.
Studio Plans — the manual creation tools only. You create, approve, and schedule every post. The Content Calendar and autonomous AI Engine operation are not included.
Each tier limits the number of Connected Account platforms (1, 2, or 3) and includes a monthly allowance of Plan Credits.
Prices, tier names, platform limits, and Credit allowances as at the effective date of these Terms are set out at www.sociogenie.ai and in the in-app billing page. The in-app pricing page is authoritative. Prices and allowances may change; changes take effect at your next renewal and, where they increase the price of your existing plan, we will give at least 14 days' notice before the renewal date so that you can cancel.
Automated content produced by the AI Engine on an AI Plan is delivered according to the allowances shown for your plan in-app and is not metered against Plan Credits. Content you create using the manual tools is metered against Credits as described in Section 7.
There is currently no free trial. We may issue promotional codes and a limited number of complimentary sample generations at our discretion; these are not a contractual entitlement and may be withdrawn or expired at any time.
7. Credits
7.1 How Credits work
Credits are consumed when you manually trigger a generation. The current consumption rate for each feature is displayed in-app on your billing page and may be adjusted as model costs change; any adjustment applies prospectively from the date it is shown in-app.
7.2 Plan Credits
Plan Credits are included with your subscription, are added at the start of each billing cycle, and reset on renewal. Unused Plan Credits do not roll over and are not refunded. Plan Credits expire when your subscription expires, is cancelled, or is suspended.
7.3 Top-Up Credits
Top-Up Credits may be purchased in packs at any time. They are held in a separate pool from Plan Credits and:
- are valid for 30 days from the date of purchase, after which they expire and are not restored or refunded;
- require an active subscription to be used;
- are non-transferable between Accounts.
Current pack sizes and prices are shown in-app.
7.4 General
Credits have no cash value, cannot be exchanged for currency, and cannot be transferred. Where Credits are deducted due to a verified technical failure attributable to us, we will re-credit the affected Credits; we do not issue cash for Credits. See our Refund Policy.
7.5 Fair use
Credits meter generation volume, not infrastructure abuse. We may throttle, suspend, or terminate Accounts that use the Services in a manner that materially degrades service for others, circumvents Credit metering, automates the interface, or attempts to extract our prompts, orchestration logic, or model configuration.
8. Auto-Renewal and Cancellation
Subscriptions renew automatically at the end of each billing cycle at the then-current price, charged to your saved payment method, until cancelled. You may cancel at any time from your account settings or by emailing support@magnatex.co. Cancellation takes effect at the end of the current paid cycle; you retain access and remaining Plan Credits until that date.
Cancellation does not by itself delete your data. To delete your Account and data, see our Privacy Policy.
9. Payments, Merchant of Record, and Taxes
All charges are billed and settled in USD through Dodo Payments Inc., which acts as Merchant of Record ("MoR") for SocioGenie. This means:
- Hosted checkout. You are redirected to
checkout.dodopayments.com, where the entire payment interface runs on Dodo's infrastructure under their terms and privacy policy. SocioGenie does not store, process, or transmit raw payment-card data and does not bundle Dodo's checkout code in its own application. - Dodo is the seller of record on your card statement and is responsible for collecting payment, issuing invoices and receipts, and remitting applicable indirect taxes (VAT, GST, sales tax) in your jurisdiction.
- By completing a payment on Dodo's checkout you also agree to Dodo Payments' terms of service and privacy policy.
- Currency-conversion fees, foreign-transaction fees, and any other charges imposed by your bank or card issuer are your responsibility and are not reimbursed.
If a payment fails, we may retry it and may suspend the Services until payment succeeds.
10. Your Content, Our Content, and Generated Content
10.1 Your User Content
You retain ownership of your User Content. You grant MAGNATEX LLP a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, modify, adapt, process, transmit, and display your User Content solely to (a) provide and operate the Services, (b) generate the output you request, and (c) publish to your Connected Accounts as you authorise. This licence ends when you delete the content or your Account, subject to the retention periods in our Privacy Policy.
You represent and warrant that you hold all rights necessary to upload your User Content and to have it processed and published as described, including rights in logos, product images, catalogues, and any depiction of a person.
We do not use your User Content or Generated Content to train our own AI models, and our AI sub-processors are contractually prevented from training their general-purpose models on it under the configurations we use.
10.2 Generated Content
As between you and us, and subject to the terms of the underlying model providers, you own the Generated Content produced for you. Note that purely machine-generated material may not attract copyright protection in many jurisdictions; we make no representation that Generated Content is protectable or exclusive to you.
You are solely responsible for reviewing Generated Content for accuracy, lawfulness, and third-party rights before it is published. See our AI Disclosure.
10.3 Our intellectual property
The Services — the SocioGenie name and logo, the software, interface, AI orchestration, prompt design, workflows, documentation, and analytics methodology — remain the exclusive property of MAGNATEX LLP and its licensors. Section 12 grants you a limited licence and nothing more. You may not copy, modify, reverse-engineer, decompile, scrape, benchmark for publication, or create derivative works of the Services, or use the Services or their output to develop a competing AI model, dataset, or social-media-automation product.
11. Approval Modes and Automated Publishing
This section describes the most significant risk in using the Services. Read it before enabling Auto Approve.
Manual Review — no content is published until you review and approve it. This is the safer configuration and we recommend it for regulated sectors and for any business where factual accuracy in a post carries commercial or legal consequence.
Auto Approve — content is reviewed by SocioGenie employees against the limited criteria in Section 11.1 and then published to your Connected Accounts on schedule, without you seeing it first. By enabling Auto Approve you acknowledge and accept that:
- content will be published under your brand's name to your audience, and will be indistinguishable to that audience from content you wrote;
- you are electing in advance to publish material you have not individually read;
- errors, inaccuracies, unsuitable timing, or content that is inappropriate for a particular market may be published before you or we become aware of it;
- automated publishing continues during holidays, news events, and crises unless you pause it, and it is your responsibility to pause it;
- you remain the publisher of record for all purposes, including platform rules, advertising law, consumer-protection law, and the disclosure obligations described in Section 19.
You may switch to Manual Review, pause the AI Engine, or disconnect any Connected Account at any time.
11.1 Scope of human review
Human review is performed by employees of SocioGenie, bound by confidentiality obligations. Reviewers see the generated post — caption and creative — and do not access your social inbox, message threads, audience data, or account credentials.
Review is limited to brand consistency, caption quality, creative presentation, and technical readiness to post. It is expressly not a fact-check, a legal or regulatory review, an advertising-compliance review, a trademark or copyright clearance, or a verification that a product depiction matches your actual product. A post passing review carries no representation by us that it is accurate, lawful, or compliant.
12. Licence to Use the Services
Subject to your compliance with these Terms and payment of all fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your own internal business purposes during the term of your subscription.
13. Acceptable Use
Your use of the Services is governed by our Acceptable Use Policy, which is incorporated into these Terms. Breach of that policy is a material breach of these Terms.
We may refuse to generate content, remove content from our systems, throttle usage, or suspend or terminate an Account for breach. Where we can do so, we will tell you why; where a platform, a law, or a risk of harm prevents that, we may act without prior notice.
14. Data Protection
Our processing of personal data is governed by our Privacy Policy.
Where we process personal data on your behalf — for example, personal data contained in assets, catalogues, or audience material you upload — you act as controller (or data fiduciary) and we act as processor. In that capacity our Data Processing Agreement applies and forms part of these Terms. You represent that you have a valid legal basis for sharing that data with us and for the processing you instruct.
We process personal data in accordance with the Digital Personal Data Protection Act, 2023 (India), the EU and UK GDPR, and the CCPA/CPRA, as applicable.
15. Video Generation
Video generation carries specific restrictions. You must not use the Video Generator to create video depicting a real, identifiable person without that person's documented consent, or to create content that could reasonably be mistaken for authentic footage of a real event, person, or place.
Generated video is short-form, machine-produced, and may contain visual artefacts, distorted text, incorrect product depiction, or physically implausible motion. Review every video before publishing. Where generated video resembling real persons, objects, places, or events is published in a market with deepfake-disclosure requirements, disclosure is your responsibility as deployer (Section 19).
16. Event Studio and Calendar Observances
Event Studio generates content tied to national, religious, and cultural observances. Observance data may be incomplete or wrong for your market, and an observance appropriate in one country may be inappropriate or unlawful to commercialise in another.
Several jurisdictions restrict the commercial or promotional use of national flags, state emblems, currency, and official insignia — in India, under the Emblems and Names (Prevention of Improper Use) Act, 1950 and the Flag Code of India, among others. You are responsible for confirming that observance content is appropriate and lawful in every market where it will be seen before it publishes. If you use Auto Approve, review your scheduled observance posts in advance.
17. Analytics and Recommendations
Analytics are derived from data made available by the platforms through their APIs. Platform data may be delayed, incomplete, revised, or withdrawn, and metric definitions differ between platforms and change over time. Recommended posting times are statistical estimates derived from your synced post performance and require a minimum volume of synced posts before they become available.
We make no representation that following any recommendation will produce any particular reach, engagement, follower growth, conversion, or commercial outcome.
18. Service Availability and Support
We aim to keep the Services available continuously but do not guarantee uninterrupted, error-free, or timely operation. Scheduled content may fail to publish for reasons including platform API outages, expired or revoked OAuth tokens, platform rate limits, account restrictions, and content rejections by the platform. We operate retry logic but cannot guarantee delivery of any individual post at any specific time.

19. Your Obligations as Publisher and Deployer
You are the publisher of everything that appears on your Connected Accounts through the Services. In addition:
EU AI Act. Where you publish in or into the European Union, you may be a "deployer" under Regulation (EU) 2024/1689. Article 50(4) requires disclosure of deepfake content and of AI-generated text published to inform the public on matters of public interest. Meeting those obligations is your responsibility.
India. Under the IT (Intermediary Guidelines and Digital Media Ethics Code) Amendment Rules, 2026, synthetically generated information is subject to labelling and provenance obligations and accelerated takedown timelines. You must not remove, suppress, or alter any AI label or provenance metadata applied to your content by a platform.
Advertising and consumer law. All content published through the Services is commercial communication. You are responsible for its compliance with advertising standards, substantiation requirements, disclosure rules, and consumer-protection law in every market where it is seen.

20. Suspension and Termination
By you. Cancel your subscription or delete your Account at any time from account settings, or by emailing support@magnatex.co.
By us. We may suspend or terminate access where (i) you breach these Terms or the Acceptable Use Policy; (ii) we are required to by law or by a platform; (iii) your payment method fails repeatedly; (iv) we reasonably suspect fraud or a risk to our systems, our other users, or our standing with a platform; or (v) you initiate a chargeback in breach of these Terms.
Effect. All licences granted to you end. Remaining Credits and subscription time are forfeited where termination is for cause. We will handle your data as described in our Privacy Policy. Sections that by their nature survive — intellectual property, indemnity, limitation of liability, governing law — continue to apply.
21. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express, implied, or statutory. We disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted operation, and make no representation that Generated Content will be accurate, original, non-infringing, brand-appropriate, legally compliant, or effective.
Nothing in this Section limits any warranty that cannot be excluded under the law applicable to you.
22. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunity, reputation, audience reach, or follower count, even if advised of the possibility.
- We are not liable for the consequences of content published through the Services, including where published under Auto Approve, or for any action taken by a social-media platform against your account.
- Our aggregate liability for all claims arising out of or in connection with the Services is limited to the greater of (a) the total amount you actually paid us via Dodo in the three (3) months immediately preceding the event giving rise to the claim, or (b) USD 100.
Nothing here excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded.
23. Indemnification
You agree to defend, indemnify, and hold harmless MAGNATEX LLP and its partners, officers, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) content published or scheduled through the Services from your Account; (c) your use of the Services; (d) your breach of these Terms or the Acceptable Use Policy; (e) your infringement of any third-party right, including intellectual-property, publicity, and privacy rights; or (f) your breach of any law or platform terms.
24. Third-Party Services
The Services depend on third parties including Google Cloud and Firebase (hosting and infrastructure), Dodo Payments (billing), Anthropic and Google (generative AI), and Meta and LinkedIn (publishing and analytics). A current list is on our Sub-processors page. We are not responsible for their outages, errors, policy changes, or discontinuation of service.
25. Consumers, Withdrawal, and Refunds
Refunds are governed by our Refund Policy, incorporated by reference. In summary: subscription fees are prepaid and generally non-refundable, Credits are non-refundable, and refunds are considered case-by-case for duplicate charges, verified technical failure, and unauthorised transactions.
If you are a consumer in the European Union or the United Kingdom, you have a statutory right to withdraw from a distance contract within 14 days. Because SocioGenie is supplied immediately on purchase, at checkout you expressly request that supply begin during the withdrawal period and acknowledge that you will lose your right of withdrawal once supply has begun in full. Where supply has begun but is not complete, you may withdraw and pay only for what you have received. This right is not affected by anything else in these Terms.
Where mandatory consumer-protection law in your country of residence gives you rights that cannot be contracted out of, those rights prevail over these Terms.
26. Changes to These Terms
We may update these Terms. For material changes we will give reasonable advance notice by email, in-app notice, or by updating the "Last updated" date, before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Services and cancel your subscription.
27. Force Majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, internet or telecommunications failure, denial-of-service attack, third-party platform failure, or industrial action.
28. Assignment, Severability, Waiver, Entire Agreement
You may not assign or transfer these Terms without our prior written consent. We may assign them to a successor or acquirer of all or substantially all of our business or assets.
If any provision is held unenforceable, the remainder stays in force and the provision is modified to the minimum extent necessary to make it enforceable while preserving its intent. Failure to enforce any right is not a waiver of it.
These Terms, together with the policies incorporated by reference and any order form or plan-specific terms, constitute the entire agreement between you and MAGNATEX LLP concerning the Services and supersede all prior agreements.
29. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of India, without regard to conflict-of-law principles. The courts at Ahmedabad, Gujarat, India have exclusive jurisdiction, and you irrevocably submit to them.
If you are a consumer, this does not deprive you of the protection of the mandatory law of your country of residence, and you may bring proceedings in the courts of that country where local law so provides.
